These terms are an agreement between you and Mehran Iranpour, an independent developer based in Ontario, Canada ("we", "us"), for your use of the Memoyad app ("the app"). By installing or using the app you agree to them. If you don't agree, don't use the app. Our Privacy Policy explains how we handle personal information.
You must be at least 18 years old, or the age of majority where you live if that is higher, to use the app. If you use it on behalf of an organization, you confirm that you are allowed to accept these terms for it.
Memoyad analyzes the media on your device with artificial-intelligence models that run on your device, so you can search your media by describing it. We grant you a personal, non-exclusive, non-transferable, revocable license to use the app on devices you own or control, for your own use, under these terms and the terms of the store you got it from (for example, the Google Play Terms of Service).
The app downloads and runs AI models made by third parties, including Gemma models developed by Google. Your use of the app includes use of those models, and their terms are part of this agreement.
Gemma is provided under and subject to the Gemma Terms of Use found at ai.google.dev/gemma/terms
You agree not to use the app, or any Gemma model it contains, for any of the restricted uses in the Gemma Prohibited Use Policy, or in violation of applicable laws and regulations. You may not extract a model from the app and use or distribute it except as its license allows. The licenses for the models and open-source software in the app are listed in the app under Settings > About > Open-source licenses, and those licenses govern those components.
Your media stay yours. The app processes them on your device only, and these terms give us no rights to them. You are responsible for having the right to the media you analyze with the app, and for how you use the app and its results.
The app belongs to us. We and our licensors own the app, including its software, design, and the Memoyad name and logo. These terms do not give you any right to them beyond the license in section 2.
Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.
Search results come from AI models and may be incomplete or inaccurate. A search can miss an item that is on your device or show one that doesn't match. Don't rely on the app as the only way to find anything important, and don't use it for decisions where a mistake could cause harm, such as medical, legal, financial or safety decisions.
You agree not to reverse-engineer, decompile, modify or redistribute the app, except where the law allows it despite this restriction or an open-source license covering a component allows it. You also agree not to use the app to break the law, to infringe anyone's rights, or to analyze media you have no right to use.
Memoyad is new, and test (beta) versions may contain bugs or lose data. Keep your own copies of anything important; the app never modifies or deletes your media, but its search index can be lost and rebuilt. We may update, change or stop offering the app or any feature. The first launch requires downloading the AI models from third-party hosting; we try to keep that available but can't guarantee it.
To the extent the law allows, the app is provided "as is" and "as available", without warranties or conditions of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
To the extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or goodwill, arising from your use of the app. To the extent the law allows, our total liability for any claim about the app is limited to the greater of the amount you paid for the app (the app is currently free) and CA$100.
Nothing in these terms limits liability that cannot legally be limited, such as liability for gross negligence, fraud or intentional misconduct, or for death or personal injury caused by negligence.
Nothing in these terms takes away rights you have under the consumer protection laws of the place where you live that cannot be waived or changed by contract. Where these terms conflict with such laws, those laws apply instead.
You can stop using the app at any time by uninstalling it. Your license ends automatically if you break these terms, and we may end it if we stop offering the app. Sections 2 (the use restrictions), 3, 4 and 7 to 12 continue after the agreement ends.
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be decided by the courts of Ontario, unless the law of the place where you live gives you the right to bring it in your local courts or to rely on its law, in which case you keep that right. There is no mandatory arbitration and no waiver of class actions. Please contact us first; most problems can be solved by email.
We may change these terms. If we do, we will post the new version here and update the effective date, and for significant changes we will also tell you in the app's release notes before they take effect. If you keep using the app after a change takes effect, the new terms apply; if you don't agree, stop using the app.
If a court finds part of these terms unenforceable, the rest stays in effect. If we don't enforce a term right away, we can still enforce it later. These terms, the Privacy Policy and the licenses referred to in section 2 are the whole agreement between you and us about the app. You may not transfer these terms to someone else; we may transfer them to a company that takes over the app, and your rights under them continue.
